These Terms of Service ("Terms") govern your use of Stanmer Archiving (the "Service"), provided by [Company Legal Name] ("we", "us"). 1. The Service
The Service archives content from social media accounts that you connect, and provides search, export and related features. We may improve and change the Service over time. If we remove a material feature, we will give reasonable notice.
2. Eligibility and accounts
- The Service is for businesses and organizations. You must be at least 18 and authorized to bind your organization to these Terms.
- You are responsible for your users and all activity under your account. Keep credentials confidential and tell us promptly at [[email protected]] if you suspect unauthorized access.
- Provide accurate account and billing information and keep it up to date.
3. Connecting social media accounts
- You may connect only accounts that your organization owns or is authorized to manage.
- You are responsible for complying with the terms of each connected platform, including Google/YouTube, Meta and X, and with laws that apply to the content you archive, including privacy laws covering people whose comments or content appear in your archive.
- The Service depends on third-party platform APIs. We are not responsible for platform outages, API changes, rate limits or content a platform does not make available. We are not affiliated with or endorsed by Google, YouTube, Meta, Facebook or X.
- By connecting a YouTube account, you also agree to the YouTube Terms of Service.
4. Your data
- You own the content in your archive ("Customer Data"). You grant us a limited license to host, copy, process and display Customer Data only as needed to provide and support the Service.
- We handle Customer Data as described in our Privacy Policy. For personal information in Customer Data, you are the controller and we act as your processor. A data processing addendum is available on request.
- You can export your data at any time while your account is active.
5. Acceptable use
You will not:
- use the Service to archive accounts you are not authorized to access, or to surveil or harass individuals;
- use the Service in violation of law or of any connected platform's terms;
- attempt to access other customers' data, probe or bypass our security, or disrupt the Service;
- reverse engineer the Service, or resell it without our written permission.
6. Subscriptions and payment
- Paid plans are billed in advance and renew automatically until cancelled. Fees are listed at sign-up and exclude taxes, which you are responsible for.
- You can cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.
- We may change prices with at least 30 days' notice, effective at your next renewal.
- Free trials end on the date shown at sign-up. Archived data from an unconverted trial may be deleted after the trial ends.
7. Suspension and termination
You may close your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or if required by law or a platform provider. Where practical we will give notice first. After termination, you have [30] days to export your data; we then delete it as described in our Privacy Policy.
8. Disclaimers
The Service is provided "as is" and "as available". We work to archive content accurately and completely, but we do not guarantee that every item will be captured, since that depends on third-party platforms. The Service is not legal advice, and you are responsible for determining whether it meets your record-keeping or legal obligations. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
9. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of their possibility. Our total liability arising out of these Terms will not exceed the fees you paid us in the 12 months before the event giving rise to the claim.
10. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Data, from accounts you connect, or from your violation of these Terms or of a platform's terms.
11. Changes to these Terms
We may update these Terms. We will post the new version here and, for material changes, notify you by email at least 30 days before they take effect. Continued use after that date means you accept the updated Terms.
12. Governing law
